10. Limitation of Liability and Disclaimers

To the fullest extent permitted by applicable law, openph, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Any conduct or content of any third party on the Platform
• Any content obtained from the Platform
• Unauthorized access, use, or alteration of your transmissions or content
• Technical failures, interruptions, or errors in the Platform

The Platform and all Services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. openph disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

In no event shall openph's total liability to you for all damages, losses, and causes of action exceed the amount you have deposited to your openph account in the three (3) months preceding the event giving rise to the liability.

11. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the openph Platform shall first be addressed through good faith negotiations between you and openph.

If a dispute cannot be resolved through negotiation within thirty (30) days, the dispute shall be submitted to binding arbitration in accordance with the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI) or another mutually agreed arbitration body. The arbitration shall be conducted in English in Metro Manila, Philippines. The arbitrator's decision shall be final and binding on both parties.

Notwithstanding the foregoing, openph reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights or other proprietary rights.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and Responsible Gaming Policy, constitute the entire agreement between you and openph concerning your use of the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.

12.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed from these Terms. 12.5 Force Majeure

openph shall not be liable for any failure or delay in performance of its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
